Diffusion Zones CLI is a software tool for educational and informational purposes only.It does not constitute financial advice, investment advice, trading advice, or any other type of advice.

Trading stocks, cryptocurrencies, and other financial instruments involves substantial risk of loss, including the possibility of losing more than your initial investment. Past performance of any trading strategy or system does not guarantee future results.

1. Acceptance of Terms

By purchasing a license, downloading, or using the Diffusion Zones CLI software ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

2. License Grant

2.1 Monthly Subscription License

Upon purchase of a monthly subscription, you are granted a non-exclusive, non-transferable, non-sublicensable license to use the Software for personal or commercial purposes, subject to these Terms. The license is valid for one month from the date of purchase and automatically renews each month via Polar.sh until cancelled.

2.2 Lifetime License

Upon purchase of a lifetime license, you are granted a non-exclusive, non-transferable, non-sublicensable license to use the Software for personal or commercial purposes, subject to these Terms. The license does not expire, but is subject to revocation for violation of these Terms.

2.3 License Scope

Your license allows you to:

  • ▸Install and use the Software on multiple devices you own or control
  • ▸Use the Software for personal trading or commercial trading activities
  • ▸Receive updates and bug fixes during the license period

3. Usage Restrictions

You agree NOT to:

  • ✕Redistribute or resell the Software or license keys
  • ✕Reverse engineer or attempt to extract the source code
  • ✕Remove or modify license validation mechanisms
  • ✕Share your license key with others
  • ✕Use the Software for illegal purposes or to violate any laws
  • ✕Claim the Software as your own or remove attribution

Violation of these restrictions may result in immediate license revocation without refund.

4. Payment & Billing

4.1 Payment Processing

All payments are processed securely through Polar.sh. We do not collect or store your payment information. Pricing is displayed on our website and may be changed at any time with notice to existing subscribers.

4.2 Monthly Subscriptions

Monthly subscriptions automatically renew each month through Polar.sh until you cancel. You may cancel at any time through your Polar dashboard. Cancellation takes effect at the end of the current billing period. No refunds for partial months.

4.3 Lifetime License

Lifetime licenses are a one-time payment. You receive access to the Software indefinitely, subject to these Terms. Updates are provided for 1 year from purchase date. After 1 year, you may continue using the version you have, but updates may require a renewal.

4.4 Refund Policy

Due to the digital nature of the Software, all sales are final. Refunds are not provided except in cases of:

  • ▸Technical issues preventing use that cannot be resolved
  • ▸Accidental duplicate purchases (verified within 7 days)

Refund requests must be made to support@diffusion-zones.com within 14 days of purchase.

5. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

We expressly disclaim all warranties, whether express, implied, or statutory, including but not limited to:

  • ▸Merchantability - The Software may not be fit for a particular purpose
  • ▸Fitness for a particular purpose - Trading signals may not be profitable
  • ▸Non-infringement - The Software may not infringe on third-party rights
  • ▸Accuracy - Data and calculations may contain errors
  • ▸Reliability - The Software may be unavailable or contain bugs

We do not guarantee that the Software will meet your requirements, operate uninterrupted, or be error-free. You assume all responsibility for use of the Software.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes but is not limited to:

  • ▸Trading losses (whether or not advised of the possibility of such losses)
  • ▸Lost profits or revenue
  • ▸Loss of data or information
  • ▸Business interruption
  • ▸Damage to reputation or goodwill

Our total liability shall not exceed the amount you paid for the Software in the 12 months preceding the claim. Some jurisdictions do not allow the exclusion of certain damages, so the above exclusions may not apply to you.

7. Not Financial Advice

⚠️ TRADING RISK WARNING

The Software provides technical analysis signals based on historical data and mathematical algorithms. It does NOT consider your:

  • ▸Financial situation
  • ▸Risk tolerance
  • ▸Investment objectives
  • ▸Time horizon

You are solely responsible for your trading decisions. Always conduct your own research, consider consulting a qualified financial advisor, and never risk more than you can afford to lose.

Past Performance Disclaimer

Past performance of any trading strategy, backtest, or signal shown by the Software is not indicative of future results. Backtested results have inherent limitations and do not represent actual trading. Hypothetical performance does not guarantee actual profits or avoid losses.

8. User Data & API Keys

The Software requires you to provide third-party API credentials (e.g., Alpaca Markets API key). You agree to:

  • ▸Keep your API keys secure and confidential
  • ▸Not share API keys with others
  • ▸Comply with your API provider's terms of service
  • ▸Understand that we do NOT store or transmit your API keys (they remain on your machine)

You are responsible for all activity conducted using your API keys.

9. Termination

9.1 Termination by You

You may stop using the Software at any time. To cancel a monthly subscription, use your Polar dashboard. No refund will be provided for partial months.

9.2 Termination by Us

We may terminate or suspend your license immediately, without notice, for:

  • ▸Violation of these Terms
  • ▸Use of the Software for illegal purposes
  • ▸Sharing or reselling license keys
  • ▸Attempts to circumvent license validation

9.3 Effect of Termination

Upon termination, your right to use the Software ceases. You must delete all copies of the Software in your possession. Sections 5, 6, 7, and 10 survive termination.

10. Intellectual Property

The Software and all content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws.

  • ▸The CLI binary is proprietary software (license required for use)
  • ▸The source code is licensed under MIT License (open source on GitHub)
  • ▸Website content, branding, and documentation are copyrighted

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to a trial by jury or to participate in a class action.

12. Indemnification

You agree to indemnify, defend, and hold harmless Diffusion Zones, its owners, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • ▸Your use of the Software
  • ▸Your trading decisions and activities
  • ▸Your violation of these Terms
  • ▸Your violation of any third-party rights

13. Updates & Modifications

We reserve the right to modify, suspend, or discontinue the Software at any time with or without notice. We may also update these Terms from time to time. Continued use of the Software after changes constitutes acceptance of the new Terms.
